Terms of Service
1. Scope
These Terms govern your access to vorepo (vorepo.com). By creating an account or using the Platform, you accept these Terms.
2. Nature of the Platform
Vorepo is an entertainment-trading platform. Repo Tickets are synthetic instruments derived from public GitHub metrics.
- Repo Tickets grant no ownership interest in any repository, maintainers, or third party.
- Repo Tickets are not securities. Not registered with SEC, FCA, KNF, AFM.
- Outcomes are never promised. You may lose every fee you deposit.
- Vorepo is not a bank, custodian, or advisor. No fiduciary duties.
3. Eligibility
You must be 18+ and not a resident of: US, UK, DE, FR, CA, SG, AE, or OFAC-sanctioned territories (IR/KP/SY/CU/RU/BY/occupied UA).
4. Account
Provide accurate registration. Tier 1+ verification at deposit thresholds. Safeguard credentials. Do not transfer or sell accounts.
5. Deposits & withdrawals
All settlement in USDC on Solana. Withdrawal auto-processor. Minimum deposit $5. Sanctions screening on every transaction.
6. Trading rules
Bonding-curve backed, not order book. Reserve ≥1.05× supply×price. Rate caps: +1.5%/h, -3%/h, ±30%/24h. Position limit 5% of supply or $10k.
7. Fees
Current schedule at /pricing.html. 1.0% buy / 1.5% sell standard; 0.5% / 1.0% Plus. Wash-trade 1.5× penalty.
8. Prohibited conduct
- Star farming, paid coordination, wash-star campaigns
- Wash trading (same user both sides within 5-min window)
- Spoofing (rapid place/cancel)
- VPN/proxy to bypass geo-restrictions
- Multiple accounts / sybil
- Insider trading on listed repositories
- Reverse-engineering Platform security
9. Intellectual property
Platform code + trademarks are operator property. GitHub data used per GitHub ToS §E (analytics).
10. Termination
We may suspend/terminate for breach. Open positions closed at market. USDC balance returned net of fees and forfeits.
11. Disclaimers
PLATFORM PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES. All implied warranties disclaimed to maximum extent permitted by law.
12. Limitation of liability
Total liability capped at the greater of (a) fees paid in preceding 12 months or (b) $100 USDC. No indirect, incidental, or consequential damages.
13. Disputes
Governed by Polish law (pending counsel review). Exclusive jurisdiction: Warsaw, Poland. Jury trial and class-action waived.
14. Changes
30-day notice for material changes (in-app + email). Continued use = acceptance.

16. Operator entity
Vorepo is operated by an individual sole proprietorship registered in Poland (jednoosobowa działalność gospodarcza). Registered entity name, NIP, REGON, and registered office address are pending DG registration and will be added to this section before public launch. Email contacts above remain valid in the interim.
